These Terms of Service (hereinafter referred to as "Terms") set forth the conditions for the use of the mobile application "GymLock" (hereinafter referred to as "the Service") provided by the GymLock developer (hereinafter referred to as "the Operator").
Article 1 (Application)
- These Terms shall apply to all relationships between users and the Operator regarding the use of the Service.
- The Operator may establish rules and other provisions (hereinafter referred to as "Individual Provisions") in addition to these Terms. Regardless of their name, such Individual Provisions shall constitute a part of these Terms.
- If any provision of these Terms conflicts with the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified.
Article 2 (Fees and Payment)
- Users shall pay the fees displayed on the App Store operated by Apple Inc. for the paid portions of the Service, using the payment methods specified by the App Store.
- The Service operates on a monthly subscription basis. Subscriptions automatically renew 24 hours before the current period ends.
- A one-week free trial may be offered to new users. If not cancelled before the trial period ends, it will automatically convert to a paid subscription.
- Subscriptions can be cancelled via Settings > Apple ID > Subscriptions on your iPhone. If you cancel before the end of the current period, you can continue using the Service until the period ends.
- No prorated refunds are provided for cancellations.
Article 3 (Prohibited Activities)
Users shall not engage in the following activities when using the Service:
- Activities that violate laws or public order and morals
- Activities related to criminal acts
- Activities that infringe on copyrights, trademarks, or other intellectual property rights contained in the Service
- Activities that destroy or interfere with the functionality of the Operator's, other users', or third parties' servers or networks
- Activities that may interfere with the operation of the Service
- Unauthorized access or attempts thereof
- Activities that cause disadvantage, damage, or discomfort to other users or third parties
- Reverse engineering, decompiling, or disassembling the Service
- Other activities deemed inappropriate by the Operator
Article 4 (Suspension of Service)
- The Operator may suspend or interrupt all or part of the Service without prior notice to users if any of the following reasons exist:
- When performing maintenance or updates to the computer systems related to the Service
- When provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
- When computers or communication lines are stopped due to an accident
- When the Operator otherwise determines that provision of the Service is difficult
- The Operator shall not be liable for any disadvantage or damage suffered by users or third parties due to the suspension or interruption of the Service.
Article 5 (Usage Restrictions)
- The Operator may restrict all or part of the user's use of the Service without prior notice if any of the following apply:
- If the user violates any provision of these Terms
- If there is a default in payment obligations
- If the user fails to respond to communications from the Operator within a specified period
- If the Service has not been used for a specified period since last use
- If the Operator otherwise determines that the use of the Service is inappropriate
- The Operator shall not be liable for any damage caused to users by actions taken under this article.
Article 6 (Withdrawal)
Users may withdraw from the Service by uninstalling the application and cancelling their subscription.
Article 7 (Disclaimer and Limitation of Liability)
- The Operator does not warrant, either expressly or impliedly, that the Service is free from defects in fact or law (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, or rights infringement).
- The Operator shall not be liable for any damages arising from the Service to users, except in cases of intentional misconduct or gross negligence. However, this disclaimer shall not apply if the contract between the Operator and the user constitutes a consumer contract as defined by the Consumer Contract Act.
- Even in cases covered by the proviso of the preceding paragraph, the Operator shall not be liable for damages arising from special circumstances caused by the Operator's negligence (excluding gross negligence). Compensation for damages caused by the Operator's negligence (excluding gross negligence) shall be limited to the amount of usage fees received from the user in the month in which the damage occurred.
- The Operator is not responsible for check-in failures caused by location inaccuracy. Location accuracy depends on the device and usage environment.
- The behavior of the app locking feature may vary depending on the OS version and device settings. The Operator does not guarantee operation in all environments.
Article 8 (Changes to Service Content)
The Operator may change, add, or discontinue the content of the Service with prior notice to users, and users shall accept such changes.
Article 9 (Changes to Terms)
- The Operator may change these Terms without obtaining individual consent from users in the following cases:
- When the change to these Terms conforms to the general interests of users.
- When the change is not contrary to the purpose of the service agreement and is reasonable in light of the necessity, appropriateness of the changed content, and other circumstances.
- When making changes pursuant to the preceding paragraph, the Operator shall notify users in advance of the intent to change, the content of the changed Terms, and the effective date.
Article 10 (Handling of Personal Information)
The Operator shall handle personal information obtained through the use of the Service appropriately in accordance with the Operator's "Privacy Policy."
Article 11 (Notices and Communications)
Notices or communications between users and the Operator shall be made by methods determined by the Operator.
Article 12 (Prohibition of Transfer of Rights and Obligations)
Users may not transfer or provide as security their contractual position or rights or obligations under these Terms to any third party without prior written consent of the Operator.
Article 13 (Governing Law and Jurisdiction)
- These Terms shall be governed by and construed in accordance with the laws of Japan.
- Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
